A confirmation statement is the yearly filing in which your limited company tells Companies House that its directors, shareholders, people with significant control (PSCs) and registered details are correct.
You must file one at least every 12 months, even if nothing has changed, and it now costs ยฃ50 online.
Key Takeaways
- Your filing deadline is 14 days after your review period ends, so check the next statement date on your Companies House record.
- Filing early is allowed, but it moves every future deadline forward to match your new statement date.
- Companies House will not accept the statement until every director has verified their identity.
- Each director needs a Companies House personal code, which they get by verifying through GOV.UK One Login or an Authorised Corporate Service Provider.
- The confirmation statement holds no financial figures โ those go in your annual accounts, which have their own deadline.
- The fee is ยฃ50 online or ยฃ110 on paper from 1 February 2026, paid once per payment period.

1. When your confirmation statement is due
Your confirmation statement is due within 14 days of the end of your review period.
The review period runs for 12 months from incorporation, or from the date of your last statement. The date to watch is the next statement date on your Companies House record. It isn’t your accounting year end!
Say your company record shows a next statement date of 30 November 2026. The review period ends that day, so the last day to file is 14 December 2026.
You can file early.
File on 20 October 2026 and pick that as your new statement date, and the next review period starts on 21 October 2026. The following statement is then due by 3 November 2027. Every later date shifts too, so add it to your other company deadlines straight away.
Miss the window and the company can be fined up to ยฃ5,000 and struck off the register, according to the Companies House filing guidance.
2. Why identity verification can hold up your filing
Companies House will not accept your confirmation statement until every director has verified their identity. You can’t fix this on the day. Each director has to verify before the filing starts.
Mandatory verification began on 18 November 2025.
Directors who were already in post then confirm they’ve verified when the company files its next confirmation statement, during a 12-month transition that runs to around mid-November 2026. In practice, that makes your company’s own statement date the deadline that counts.
Each director verifies once, either free through GOV.UK One Login or through an Authorised Corporate Service Provider (ACSP). Companies House then issues a personal code, and the statement asks for that code for every director. If one co-director is travelling or slow to reply, the whole filing waits while the 14 days run down. Our identity verification walkthrough covers both routes.
People with significant control (PSCs) verify too. If a PSC is also a director, their 14-day window runs from the company’s confirmation statement date. A PSC who isn’t a director gets a 14-day window that starts on the first day of their birth month.
3. How to file a confirmation statement online
You file a confirmation statement through the Companies House online service. It holds no profit or tax figures: those go in your statutory accounts, which have a separate deadline.
These are the steps you need to know when you’re filing your confirmation statement online:
- Check every director, and every PSC, has their Companies House personal code.
- File any changes to directors, PSCs, your registered office or registered email address first. These can’t wait for the statement.
- Sign in to the Companies House online service and pick your company using its number and authentication code.
- Choose your statement date: the next statement date, or an earlier one if you’re filing early.
- Check each section and update your SIC code or shareholder details if they’ve changed.
- Confirm that the company’s future activities will be lawful. Every statement dated from 5 March 2024 needs this.
- Enter each director’s personal code, tick to confirm they’ve verified, then pay and submit.
The fee is ยฃ50 online or ยฃ110 for a paper CS01. You pay once per payment period, so a second statement in the same period costs nothing extra.
